Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and CPDreflect regarding your access to and use of our website, platform, and related AI-powered services (the "Service"). By accessing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Description of the service

CPDreflect is a productivity tool designed to assist financial services professionals in structuring, formatting, and refining their Continuing Professional Development ("CPD") records. The Service uses Artificial Intelligence ("AI") to process user notes into structured reflection statements aligned with common professional frameworks (e.g. CII, CISI, LIBF).

Important disclaimer: CPDreflect is a drafting aid only. We are not a compliance officer, a regulatory body, or an educational institution. The Service does not verify whether your learning activity meets the specific requirements of the Financial Conduct Authority (FCA) or any professional body.

3. Professional responsibilities

You acknowledge that as a regulated professional, the ultimate responsibility for your CPD record lies solely with you.

Accuracy and verification: You agree to review all content generated by the Service for factual accuracy, context, and tone. You remain solely responsible for the content you submit to any employer, professional body, or regulator.

No regulatory advice: Nothing produced by the Service constitutes legal, financial, or regulatory advice.

Prohibited conduct: You must not use the Service to fabricate evidence of learning that did not occur, generate misleading or false CPD entries, or attempt to bypass regulatory requirements through the use of AI generation.

4. AI limitations and disclaimers

The Service uses third-party Large Language Models (LLMs) provided by Anthropic. You acknowledge the inherent limitations of this technology.

Potential for error: AI models can occasionally generate incorrect or non-factual information. You must edit the output to ensure it accurately reflects your personal experience.

Terminology: References to "demonstrably robust", "structured", or "evidence-backed" formats refer to the structural organisation of the text and the engagement metadata recorded during the reflection process. These terms do not guarantee that the content will satisfy any specific audit, regulatory review, or professional body assessment.

Liability for AI output: CPDreflect shall not be liable for any disciplinary action, fine, loss of certification, or employment dispute arising from your use of AI-generated content.

5. Subscriptions, billing and refunds

Fees: Certain features are available only via paid subscription. All fees are displayed at checkout prior to purchase.

Digital content and cooling-off period: Under the UK Consumer Rights Act 2015, you generally have a 14-day right to change your mind. However, by purchasing a subscription you expressly request immediate access to the digital content and acknowledge that you lose your right to the 14-day cooling-off period once access has begun.

Refunds: Refunds are generally not provided for partial subscription periods. However, if the Service is faulty or unavailable for an extended period, we will handle refund requests in accordance with UK consumer law.

6. Intellectual property

Your content: You retain all ownership rights to the raw notes you upload ("Input") and the text generated for you ("Output").

Our licence: By using the Service, you grant CPDreflect a worldwide, non-exclusive, royalty-free licence to host, process, and store your Input and Output solely for the purpose of providing the Service to you.

CPDreflect IP: We retain all rights, title, and interest in and to the Service, including software code, prompt engineering methodologies, UI design, logos, and branding.

7. Data protection and hosting

Our handling of your personal data is described in our Privacy Policy. The Service is hosted on Railway, and AI processing is performed by Anthropic. Both use servers in the United States. We rely on adequacy decisions and Standard Contractual Clauses to ensure data protection equivalent to UK GDPR.

8. Acceptable use

You agree not to use the Service for any unlawful purpose, input sensitive personal data (e.g. health data, financial account numbers) regarding yourself or clients into the AI, interfere with or disrupt the Service, or attempt to gain unauthorised access.

9. Termination

We may suspend or terminate your access immediately, without prior notice, for any reason, including if you breach these Terms.

10. Limitation of liability

Indirect damages: CPDreflect shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Liability cap: In no event shall CPDreflect's total liability exceed the amount you have paid to us in the twelve months preceding the claim.

Exclusions: Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
